Terms of Service

1. Acceptance of terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, AML/KYC Policy, and Risk Disclosure. These documents are incorporated into these Terms by reference.

2. Description of the service

NorthBridge provides a website that embeds a third-party cryptocurrency exchange widget, currently operated by QuickEx ("Processing Partner"). The Service allows you to view indicative exchange rates and initiate a swap between supported crypto assets. NorthBridge does not operate the underlying exchange engine, matching logic, or settlement infrastructure — that is provided entirely by the Processing Partner.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. You represent that you are not located in, or a resident or national of, any jurisdiction where use of the Service would be prohibited, and that you are not on any sanctions or restricted-persons list maintained by a governmental authority with jurisdiction over you or over NorthBridge.

4. No custody, no account

NorthBridge does not require you to create an account, and does not take custody of your funds at any point. Assets you send in connection with a swap go directly to addresses generated and controlled by the Processing Partner for the purpose of executing that specific transaction, and the converted assets are sent from the Processing Partner directly to the destination address you provide.

5. Third-party processing partners

All rate quotation, order matching, and settlement is performed by the Processing Partner under its own terms of service, which apply to your transaction in addition to these Terms. NorthBridge is not a party to the exchange contract formed between you and the Processing Partner, and has no ability to reverse, expedite, or otherwise alter a transaction once submitted.

We may earn a referral commission from the Processing Partner on transactions initiated through this Service. This does not change the price you are quoted by the Processing Partner.

6. Fees & rates

Exchange rates, network fees, and any processing fees are set and displayed by the Processing Partner within the widget. NorthBridge does not add an additional markup on top of the quoted rate. See our Fees page for further detail.

7. No financial advice

Nothing on the Service constitutes investment, legal, tax, or financial advice. You are solely responsible for evaluating the merits and risks of any transaction before executing it.

8. Prohibited use

You agree not to use the Service to:

• Facilitate money laundering, terrorist financing, or any other illegal activity;
• Transact with funds derived from fraud, theft, or other unlawful conduct;
• Violate any applicable law or the rights of any third party;
• Interfere with, probe, or attempt to bypass the security of the Service or the Processing Partner's systems;
• Use the Service if you are a sanctioned individual or entity, or located in a jurisdiction subject to comprehensive sanctions.

9. Assumption of risk

You acknowledge the risks described in our Risk Disclosure, including price volatility, irreversibility of blockchain transactions, and reliance on third-party infrastructure, and you accept these risks as a condition of using the Service.

10. Limitation of liability

To the maximum extent permitted by law, NorthBridge and its operators will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of funds, profits, or data arising from your use of the Service, including losses caused by the Processing Partner, network congestion, incorrect wallet addresses entered by you, or blockchain-level failures.

11. Indemnification

You agree to indemnify and hold NorthBridge harmless from any claim, loss, or demand, including reasonable legal fees, arising from your use of the Service or your violation of these Terms.

12. Intellectual property

The NorthBridge name, logo, and site design are the property of their respective owner and may not be copied or used without permission. The exchange widget embedded on this site remains the property of the Processing Partner.

13. Access & termination

We may restrict or discontinue access to the Service at any time, for any reason, including suspected violation of these Terms, without prior notice.

14. Governing law

15. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date at the top of this page. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
